Introduction and Acceptance
These Terms & Conditions ("Terms") govern your access to and use of the WorkPal mobile application, together with any related websites, content, features, and services (collectively, the "Platform"). The Platform is operated by Vince Product Studio by Vincenzo Panìco ("WorkPal," "we," "us," or "our").
By downloading, accessing, or using the Platform, you confirm that you have read, understood, and agree to be bound by these Terms and by our Privacy Policy, which is incorporated by reference. If you do not agree, do not access or use the Platform.
These Terms constitute a legally binding agreement between you and WorkPal.
Definitions
"Content" means all information, text, data, listings, ratings, graphics, logos, images, software, and other materials made available on or through the Platform.
"Job Content" means job listings, employer information, visa-sponsorship indicators, sponsor ratings, and related data.
"User," "you," or "your" means any person who accesses or uses the Platform.
"Account" means the account you create to use certain features of the Platform.
Eligibility
The Platform is intended solely for individuals who are at least 18 years of age. By using the Platform, you represent and warrant that you are 18 or older and legally able to enter into these Terms. We may refuse, suspend, or terminate access to anyone who does not meet this requirement.
Accounts and Security
To access certain features you must create an Account, which you may do using an email address and password or through third-party sign-in (such as Google or Apple).
You agree to provide accurate, current, and complete information and to keep it updated.
You are responsible for maintaining the confidentiality of your credentials and for all activity under your Account.
You must notify us immediately at vince@workpal.me of any unauthorized use or security breach.
You may not share, sell, or transfer your Account, or create an Account on behalf of anyone else without authorization.
License to Use the Platform
Subject to your compliance with these Terms, WorkPal grants you a limited, personal, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Platform for your own personal, non-commercial job-search purposes. All rights not expressly granted are reserved by WorkPal. This license does not grant you any ownership of, or rights to, the Platform or its Content.
Acceptable Use
You agree that you will not, and will not attempt to, and will not permit or enable any third party to:
Use the Platform for any unlawful, fraudulent, or unauthorized purpose, or in violation of these Terms or any applicable law;
Copy, reproduce, distribute, republish, sell, license, sublicense, or otherwise commercially exploit any part of the Platform or its Content;
Interfere with, disrupt, overload, or impair the Platform, its servers, or networks, or attempt to gain unauthorized access to any system, account, or data;
Circumvent, disable, or interfere with security-related features, rate limits, access controls, or usage restrictions;
Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code, underlying ideas, algorithms, structure, or organization of the Platform, except to the extent this restriction is expressly prohibited by applicable law;
Introduce any viruses, malware, or harmful code, or use the Platform to transmit unsolicited or unauthorized advertising or communications;
Impersonate any person or entity, or misrepresent your affiliation with any person or entity;
Remove, obscure, or alter any proprietary notices, or misuse any trademarks, logos, or branding.
Prohibition on Data Scraping, Automated Access, and AI Training
The Content and the compilation, arrangement, and presentation of the Content are the exclusive property of WorkPal and/or its licensors and are protected by intellectual property and database rights. Access is granted to human end-users through the Platform interface only. Accordingly, you are expressly prohibited from, and you agree not to, directly or indirectly, whether as an individual, an organization, or by means of any automated system:
Using any robot, spider, crawler, scraper, bot, script, or other automated means or process to access, monitor, index, copy, harvest, extract, scrape, or collect any Content or data from the Platform;
Performing bulk, systematic, or repeated downloading, extraction, or retrieval of Content, or creating or compiling, directly or indirectly, any collection, database, directory, or copy of the Content;
Using the Content, in whole or in part, to train, develop, fine-tune, evaluate, or improve any artificial intelligence, machine-learning, large language model, or other automated or generative system, or to create derivative datasets for any such purpose;
Conducting text and data mining ("TDM") or web-scraping of the Platform or its Content by any person or machine, whether for commercial or non-commercial purposes.
Reservation of rights (TDM opt-out). WorkPal expressly reserves all rights, including under Article 4 of Directive (EU) 2019/790 and its national implementations (including Italian law), to opt out of and prohibit text and data mining of the Platform and its Content. This reservation applies to all Content and is a machine-readable and express reservation of rights. No exception, limitation, or "fair use / fair dealing" defense authorizes the automated collection or AI-training uses prohibited by this Section.
Any access or use in breach of this Section is unauthorized, constitutes a material breach of these Terms, and may violate applicable computer-misuse, intellectual-property, and database-protection laws. We may pursue all available legal and technical remedies, including blocking, injunctive relief, and damages.
Job Content, Sponsor Ratings, and No Guarantees
The Platform aggregates and displays Job Content, including visa-sponsorship indicators and "sponsor ratings," derived in whole or in part from publicly available sources, including government disclosure datasets and employers' public career pages, and processed using our own methods and estimates.
You acknowledge and agree that:
Job Content and sponsor ratings are provided for general informational purposes only, are estimates or indicators, and may be incomplete, inaccurate, outdated, or unavailable;
We do not guarantee the availability, accuracy, legality, or outcome of any job, application, interview, offer, relocation, or visa sponsorship;
Sponsor ratings are not endorsements, are not created by or on behalf of the employers, and do not represent any statement by, affiliation with, or approval from those employers;
Nothing on the Platform constitutes legal, immigration, tax, financial, employment, or professional advice, and you should consult a qualified professional before making decisions;
Any reliance you place on Job Content or sponsor ratings is strictly at your own risk.
Third-Party Content, Trademarks, and Links
Employer names, logos, trademarks, and brands displayed on the Platform are the property of their respective owners and are used for identification and informational purposes only (nominative use). Their display does not imply any affiliation with, sponsorship by, or endorsement by those owners, or any partnership between them and WorkPal.
When you choose to apply for a role, the Platform may direct you to third-party websites or application systems that are not operated or controlled by WorkPal. Those services are governed by their own terms and privacy policies, and we are not responsible or liable for them.
Advertising
The Platform may display advertising, including ads served by third-party ad networks (such as Google AdMob). Advertisements do not constitute an endorsement by WorkPal of the advertised products or services. Your interactions with advertisers are solely between you and the advertiser. Intellectual Property
The Platform and all Content (excluding third-party trademarks and user-provided data), including its software, source code, design, "look and feel," text, graphics, structure, arrangement, algorithms, ratings methodology, and compilations, are owned by WorkPal or its licensors and are protected by copyright, trademark, database, and other intellectual-property laws. "WorkPal" and associated names, logos, and marks are trademarks of WorkPal. You receive no rights in them except the limited license in Section 5.
Originality and Independent Development
WorkPal is an independently conceived and developed product. WorkPal has been created through our own independent efforts and is not copied from, based on, derived from, or inspired by any other product, service, or application.
You acknowledge and agree that:
General ideas, concepts, functionalities, methods, layouts, and features are not, in themselves, protectable as exclusive property, and that similar concepts (including job boards, job aggregation, visa-related information, and rating or scoring systems) exist and may be independently developed by many parties;
Any resemblance between the Platform and any other product is coincidental and/or the result of common, non-proprietary concepts, and does not indicate copying or misappropriation;
Nothing on the Platform shall be construed as an admission that any third party owns any idea, concept, or feature embodied in the Platform.
Feedback and Unsolicited Ideas
We welcome comments, but please do not send us confidential or proprietary ideas, concepts, or materials. If, despite this, you send us any feedback, suggestions, ideas, concepts, proposals, or other materials (collectively, "Feedback"), you agree that:
All Feedback is provided voluntarily and non-confidentially, and no confidential or fiduciary relationship is created;
You grant WorkPal a perpetual, irrevocable, worldwide, royalty-free, fully paid-up, transferable, sublicensable license to use, reproduce, modify, and exploit the Feedback for any purpose, without restriction, attribution, or compensation to you;
WorkPal is free to use ideas and concepts contained in Feedback, including for developing, improving, or marketing products and features, without any obligation or liability to you, and you waive and release any claim (including for compensation, attribution, or misappropriation) arising from our use of such Feedback or from any similarity between our products and any idea you may believe you contributed.
Privacy
Your use of the Platform is also governed by our Privacy Policy, which explains how we collect, use, and protect your information. By using the Platform, you consent to the practices described there.
Availability, Changes, and Early-Stage Nature
The Platform is under active development and may be provided on an early-access or evolving basis. We may, at any time and without liability, add, modify, suspend, or discontinue the Platform or any feature, listing, rating, or Content, and impose or change limits, in whole or in part.
Disclaimers ("As Is")
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE PLATFORM AND ALL CONTENT ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, whether express, implied, or statutory, including any implied warranties of merchantability, fitness for a particular purpose, title, accuracy, and non-infringement. WorkPal does not warrant that the Platform will be uninterrupted, secure, error-free, or free of harmful components, or that any Content is accurate, complete, or reliable. Some jurisdictions do not allow the exclusion of certain warranties, so some of the above may not apply to you.
Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, WORKPAL AND ITS OWNERS, OFFICERS, EMPLOYEES, AGENTS, AND LICENSORS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OPPORTUNITY, OR EMPLOYMENT, ARISING OUT OF OR RELATING TO YOUR USE OF (OR INABILITY TO USE) THE PLATFORM OR ANY CONTENT, WHETHER BASED ON CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, OR OTHERWISE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, WORKPAL'S TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS RELATING TO THE PLATFORM SHALL NOT EXCEED THE GREATER OF (A) THE TOTAL AMOUNT YOU PAID TO WORKPAL, IF ANY, IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) EUR 50.
Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law, including liability for death or personal injury caused by negligence, for fraud or fraudulent misrepresentation, or for gross negligence or willful misconduct, and nothing affects the mandatory statutory rights of consumers that cannot be waived.
Indemnification
To the extent permitted by law, you agree to indemnify, defend, and hold harmless WorkPal and its owners, officers, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or related to: (a) your use of the Platform; (b) your breach of these Terms; (c) your violation of any law or the rights of any third party; or (d) any unauthorized access, scraping, or automated use conducted by you or on your behalf.
Suspension and Termination
We may suspend or terminate your access to the Platform at any time, with or without notice, for any reason, including if we reasonably believe you have violated these Terms. You may stop using the Platform and delete your Account at any time. Sections that by their nature should survive termination (including Sections 6–13 and 16–24) will survive.
Governing Law and Jurisdiction
These Terms and any dispute arising out of or relating to them or the Platform are governed by the laws of Italy, without regard to conflict-of-laws principles. Subject to Section 21, the courts of [your city/province], Italy shall have exclusive jurisdiction. If you are a consumer, you benefit from any mandatory protections of the law of your country of residence, and nothing in this Section deprives you of the right to bring proceedings in, or the protection of the mandatory laws of, your place of residence.
Dispute Resolution
Before initiating any formal proceeding, you agree to first contact us at vince@workpal.me to seek a good-faith resolution. If you are an EU consumer, you may also access the European Commission's Online Dispute Resolution platform at https://ec.europa.eu/consumers/odr.
App Store Terms
If you download the Platform from a third-party app marketplace (such as the Apple App Store or Google Play), your use is also subject to that marketplace's terms. Where required by Apple, you acknowledge that these Terms are between you and WorkPal only, not Apple; that Apple has no obligation to provide support or maintenance for the app; and that Apple and its subsidiaries are third-party beneficiaries of these Terms with the right to enforce them against you.
Force Majeure
WorkPal shall not be liable for any failure or delay in performance resulting from causes beyond its reasonable control, including acts of God, outages, network or infrastructure failures, third-party service interruptions, labor disputes, or governmental actions.
General
Entire Agreement. These Terms and the Privacy Policy constitute the entire agreement between you and WorkPal regarding the Platform and supersede all prior agreements.
Changes to Terms. We may update these Terms from time to time; we will revise the "Last updated" date and, where appropriate, provide notice in the Platform. Your continued use after changes take effect constitutes acceptance.
Severability. If any provision is held invalid or unenforceable, the remaining provisions remain in full force, and the invalid provision will be enforced to the maximum extent permitted.
No Waiver. Our failure to enforce any provision is not a waiver of it.
Assignment. You may not assign these Terms without our consent; we may assign them freely, including in connection with a merger, acquisition, or sale of assets.
No Agency. No partnership, agency, employment, or joint venture is created by these Terms.
Language. These Terms may be provided in English; in case of translation, the [English] version prevails to the extent permitted by law.
